However, what many people overlook is that accepting this role entails a range of legal, financial, and even personal responsibilities that can have significant consequences if not properly managed.<\/p>\n<p>Under Spanish law, company directors, whether sole directors, joint and several directors, joint directors, or members of a board, are subject to a framework of duties that goes far beyond the day-to-day management of the business. The Spanish Companies Act establishes, among others, <a href=\"https:\/\/letslaw.es\/en\/liability-of-corporate-directors\/\">the duties of diligence and loyalty<\/a>, which are the fundamental pillars governing a director&#8217;s conduct.<\/p>\n<p>The duty of diligence requires directors to act as an \u00aborderly businessperson\u00bb, meaning they must be adequately informed before making decisions, monitor the company&#8217;s performance, and actively participate in its management. Holding the position on a purely nominal basis is not enough: passivity or lack of attention can lead to liability. In certain cases, the authorities may extend liability to directors for outstanding tax or social security debts, particularly where negligent or intentional misconduct is identified. This reinforces the importance of ensuring proper oversight of the company&#8217;s tax and labour obligations.<\/p>\n<h2>A role that should not be taken lightly<\/h2>\n<p>Another common misconception is that the role of director is merely symbolic or done as a favour. It is quite frequent, especially in small businesses or startups, for someone to accept the position without fully understanding its legal implications. However, the absence of remuneration or limited involvement in management does not exempt a director from responsibility.<\/p>\n<p>For all these reasons, before accepting a position as a company director, it is essential to fully understand the scope of the obligations involved. Seeking appropriate legal advice, implementing internal control mechanisms, and properly documenting decisions are key measures to mitigate risks.<\/p>\n<p>In conclusion, being a company director is not just about holding a title, it is a role that carries a high level of responsibility.
